These Terms of Service form a binding agreement between you and Layr for use of our websites, accounts, and product. By creating an account, accepting an invite, or using Layr, you agree to these terms. If you are using Layr on behalf of a company, you represent that you have authority to bind that company.
The service
Layr is an AI-assisted product decision layer. It connects tools such as Slack, Jira, Linear, Notion, and Intercom, helps teams recover recurring problems from customer and project evidence, and supports review and drafting workflows.
Features may change as we improve the product. Beta or early-access capabilities may be less stable and may be modified or discontinued with notice when practical.
Accounts and workspaces
You must provide accurate registration information and keep your credentials secure. You are responsible for activity under your account.
Workspaces are controlled by their owners and admins. Admins may invite members, manage integrations and source inclusion, and request offboarding. If your access is provided by an employer or customer, their policies and workspace settings also apply.
Acceptable use
You may use Layr only for lawful purposes and in line with these terms. You must not:
- Probe, scan, or disrupt Layr infrastructure, security, or other customers
- Attempt to access data outside your authorized workspace or role
- Upload or process unlawful, harmful, or infringing content
- Misuse integrations, automated access, or AI features to spam, deceive, or violate third-party terms
- Reverse engineer the service except where applicable law expressly allows it
Your content and product data
You and your organization retain ownership of content you submit to Layr and of product data imported from tools you authorize.
You grant Layr a limited license to host, process, transmit, and display that content solely to provide and improve the service for your workspace, including building product memory, generating recommendations and drafts, and operating security and reliability systems.
We do not use your product data to train shared Layr models. Connecting a tool does not by itself authorize ingest of every source; inclusion remains under your team's control.
Integrations and third-party services
Layr requests least-privilege access for the workflows you enable. Reading for analysis is the default. Writing into your tools is a separate, explicit action, for example creating a ticket or publishing a page from an approved draft.
Third-party tools remain governed by their own terms and privacy policies. Layr is not responsible for those services, their availability, or changes they make to APIs or permissions.
AI-assisted features
AI features are assistive. Outputs can be incomplete or incorrect. Your team remains responsible for reviewing recommendations, drafts, and write-backs before relying on them or publishing them into other tools.
Important recommendations and drafts are designed to link back to source evidence so people can verify context before acting.
Intellectual property
Layr and its branding, software, documentation, and design are owned by Layr or its licensors and are protected by intellectual property laws. These terms do not transfer ownership of Layr IP to you.
Feedback you share about Layr may be used to improve the product without obligation to you.
Fees and plans
Paid plans, pilots, and enterprise agreements are governed by the order form, pricing page, or contract presented at purchase. Unless stated otherwise, fees are non-refundable except where required by law.
We may change pricing for future renewals with notice. Continued use after a renewal under new pricing constitutes acceptance of the updated fees.
Confidentiality
Each party may receive confidential information from the other. The receiving party will protect that information with reasonable care and use it only to perform under these terms, except where disclosure is required by law or the information is already public through no fault of the receiving party.
Disclaimers
Layr is provided on an "as is" and "as available" basis to the fullest extent permitted by law. We disclaim warranties of merchantability, fitness for a particular purpose, and non-infringement.
We do not warrant that the service will be uninterrupted, error-free, or free of harmful components, or that AI outputs will meet your requirements without human review.
Limitation of liability
To the fullest extent permitted by law, Layr and its suppliers will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, goodwill, or data, arising from your use of the service.
Our aggregate liability for claims relating to the service will not exceed the amounts you paid to Layr for the service in the twelve months before the claim, or one hundred U.S. dollars if you have not paid fees.
Some jurisdictions do not allow certain limitations. In those places, our liability is limited to the maximum extent permitted by law.
Suspension and termination
You may stop using Layr at any time. Workspace admins may request erasure or offboarding as described in our Privacy Policy and security documentation.
We may suspend or terminate access if you materially breach these terms, create risk to the service or other customers, fail to pay fees when due, or if required by law. Where reasonable, we will provide notice.
Provisions that by nature should survive, including ownership, confidentiality, disclaimers, limitations of liability, and governing law, survive termination.
Changes to these terms
We may update these terms as the product and legal requirements evolve. Material changes will be posted on this page with an updated date, and we may provide additional notice through the product or by email when appropriate. Continued use after the effective date constitutes acceptance of the updated terms.
Governing law
If you have a written enterprise or pilot agreement with Layr, that agreement's governing law and dispute process control for conflicts with these terms.
Otherwise, these terms are governed by the laws applicable to Layr's operating entity, excluding conflict-of-law rules that would require another jurisdiction's law. Courts with jurisdiction over that entity may hear disputes arising under these terms, except where applicable law requires otherwise.
